1. Definitions

 

• “LIFES” means the LIFES association (vereniging) established in the Netherlands.

• “Member” means any organization or individual admitted to LIFES membership.

• “Participant” means any Member or non-member attending a LIFES activity (e.g., meetings, events).

• “Starter Kit” means the catalogue of third-party sandbox offerings listed by LIFES.

• “ASPs” means application/service providers offering Starter Kit sandboxes or other services.

• “Services” means any LIFES-provided website(s), listings, meetings, newsletters, introductions, communities, or other facilitation.

• “Agreement” means these Terms plus any specific written terms signed by LIFES.

 

2. Scope & Role of LIFES

2.1 LIFES is a neutral community and facilitation platform. LIFES does not provide consulting, integration, or technical services and does not participate in Member ↔ ASP contracts.
2.2 LIFES may publish listings (incl. Starter Kit), convene meetings, and broker introductions.

 

3. No Agency; No Responsibility for Members or ASPs

3.1 Members, Participants, and ASPs act independently. Nothing creates a partnership, joint venture, employment, or agency with LIFES.
3.2 LIFES is not responsible or liable for any act, omission, statement, representation, content, product, or service of any Member, Participant, ASP, or other third party—including during LIFES-organised events and including any Starter Kit engagements.

4. Starter Kit; Listings; Introductions

4.1 Starter Kit listings are provider-supplied information. LIFES does not verify technical accuracy or fitness for purpose.
4.2 Any engagement arising from a listing or introduction is a direct contract between buyer and provider. LIFES is not a party and assumes no responsibility, warranty, or obligation.
4.3 Providers may self-attest to (FAIR) principles or capabilities; such self-attestations are not endorsements or guarantees by LIFES.

5. Confidentiality

5.1 No confidentiality is assumed. Information shared within LIFES channels (including meetings, calls, workshops, forums, or emails with LIFES) is deemed non-confidential, unless a separate, written confidentiality agreement is signed by LIFES and expressly covers the information, and  the information is clearly marked as confidential at the time of disclosure.
5.2 This Clause 5 does not waive or limit obligations imposed by applicable privacy law for personal data (see Clause 9).

6. Content, IP, and Usage

6.1 Materials created by LIFES (e.g., specifications, templates, summaries) remain LIFES’ copyright unless stated otherwise. LIFES may publish them under open licences at its discretion.
6.2 Materials provided by Members/ASPs remain their IP. By sharing in LIFES spaces, the contributor grants LIFES a non-exclusive right to display and redistribute within LIFES channels for community purposes.
6.3 Trademarks and logos remain the property of their owners.

7. Warranties and “AS IS”

7.1 All LIFES Services (including websites, listings, communications, meetings, and introductions) are provided “AS IS” and “AS AVAILABLE”.
7.2 LIFES disclaims all warranties—express, implied, statutory—including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability, to the maximum extent permitted by law.

8. Liability

8.1 To the maximum extent permitted by applicable law, LIFES shall have no liability (contract, tort, or otherwise) for any direct, indirect, incidental, special, punitive, or consequential loss or damage.
8.2 Without limiting the foregoing, LIFES is not liable for the acts or omissions of Members, Participants, ASPs, or other third parties or the outcome of any introduction or engagement made by LIFES, except where liability cannot be excluded by law.
8.3 Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under Dutch law.

9. Data Protection

9.1 Each party is independently responsible for complying with applicable data protection laws (including the GDPR) for personal data it processes.
9.2 LIFES’ role is typically that of an independent controller for personal data it processes (e.g., membership records, event registrations, mailing lists). LIFES’ privacy notice explains purposes and rights.
9.3 For Starter Kit or other third-party services, the relevant provider and buyer are responsible for applicable data protection compliance between them.

10. Code of Conduct; Safety

10.1 LIFES expects professional conduct at all times. Harassment, discrimination, and unlawful behaviour are prohibited.
10.2 LIFES may, at its discretion, remove content or exclude a person from activities to maintain a safe environment.

11. Compliance & Ethics

11.1 Members and Participants shall comply with applicable laws and regulations (including export control, sanctions, and anti-bribery).
11.2 No Member or ASP may present itself as endorsed by LIFES unless LIFES has provided explicit written permission.

12. Changes, Suspension, Termination

12.1 LIFES may update these Terms from time to time. The version published on the LIFES website applies from its effective date.
12.2 LIFES may modify, suspend, or discontinue any Service (in whole or part) without liability.
12.3 LIFES may pause or delist a Starter Kit offering or remove content at its discretion, particularly on credible concerns about accuracy, lawfulness, or safety.

13. Fees and Taxes (if applicable)

13.1 Any membership fees or paid Services (if introduced) will be communicated separately. Fees are exclusive of taxes unless stated otherwise.

14. Force Majeure

14.1 LIFES shall not be liable for delay or failure caused by events beyond its reasonable control (force majeure).

15. Third-Party Links & Tools

15.1 LIFES may reference tools, datasets, software, or services operated by third parties. Use is at your own risk and subject to third-party terms.

16. Severability; No Waiver

16.1 If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
16.2 Failure to enforce a provision is not a waiver.

17. Entire Agreement & Order of Precedence

17.1 These Terms constitute the entire agreement for use of LIFES Services unless a separately signed agreement explicitly states otherwise.
17.2 In case of conflict, a signed agreement with LIFES (if any) prevails over these Terms for the specific subject matter.

18. Governing Law & Venue

18.1 These Terms and any non-contractual obligations arising out of or in connection with them are governed by Dutch law.
18.2 Disputes shall be submitted to the competent courts of Amsterdam, the Netherlands, without prejudice to any mandatory forum under applicable law.
